Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you and Ogvio, a corporation incorporated Ogvio Global Ltd. is a Delaware C Corporation, with its registered agent located at 131 Continental Dr Suite 305, Newark, DE 19713, United States ("Ogvio," "we," "us," or "our"). These Terms govern your access to and use of the Ogvio website, products, and all related services (collectively the "Services"). By accessing, or using the website, you agree to be bound by these Terms, our Privacy Policy, and any additional agreements presented to you in connection with certain features of the Services. If you do not agree, you must immediately discontinue use of the website.
Ogvio operates as a technology platform only. We provide non-custodial software that enables you to send, receive, store, and spend supported currencies, including digital assets such as stablecoins and fiat-denominated balances, through integrations with regulated third-party service providers ("Partners"). Ogvio itself does not issue currency, hold customer funds, or operate as a bank, exchange, payment service provider, or custodian. You acknowledge and agree that all financial and custodial services are delivered by Partners, subject to their own terms, policies, and applicable regulatory obligations.
1. DEFINITIONS
- 1.1 Account means the user profile created by you within the Website, which is secured through your chosen authentication methods and used to access the Services.
- 1.2 Wallet means the non-custodial digital wallet generated in connection with your Account. The wallet is cryptographically, encrypted on your device, and accessible only to you. Ogvio does not at any time control, manage, or retain access to your wallet or its private keys.
- 1.3 Fiat Currency means government-issued legal tender, such as United States Dollars (USD), Euros (EUR) and others, which are supported for conversion and settlement through the Website and Partner integrations.
- 1.4 Digital Assets means cryptographic tokens supported by Ogvio, including but not limited to stablecoins such as USDC and USDT.
- 1.5 Partners means licensed and regulated institutions that provide underlying services integrated into the Website, including wallet provisioning, card issuance, transaction processing, and currency conversion.
- 1.6 KYC/AML means "Know Your Customer" and "Anti-Money Laundering" verification processes required under applicable law, which must be completed before you may fully use some of the Services.
2. ELIGIBILITY
- 2.1 In order to use the Services, you must be at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, whichever is higher.
- 2.2 You must have the legal capacity to enter into binding contracts under the laws applicable to you.
- 2.3 You must not be located in, ordinarily resident in, or a citizen of a country subject to sanctions or restrictions imposed by the United States, the European Union, the United Nations, or any other relevant authority.
- 2.4 You must not appear on any list of prohibited or restricted parties maintained by government agencies.
- 2.5 By creating an Account and using the Services, you represent and warrant that you meet all of the foregoing requirements. Ogvio reserves the right to refuse, suspend, or terminate your access if we determine or reasonably suspect that you do not meet these criteria.
3. ACCOUNT REGISTRATION AND VERIFICATION
- 3.1 To access and use the Services, you must register an Account through the Website. Registration will require you to provide certain information, which may include your full name, date of birth, contact information, nationality, government-issued identification documents, and any other data necessary to complete identity verification.
- 3.2 You acknowledge that Ogvio works with regulated Partners to conduct KYC/AML checks and that your information may be shared with such Partners for the purpose of fulfilling regulatory obligations.
- 3.3 You agree to provide accurate, complete, and current information at all times. Failure to do so may result in suspension or termination of your Account.
- 3.4 You are solely responsible for maintaining the confidentiality of your login credentials and any device-level authentication mechanisms (including passcodes, biometric identifiers, or passkeys). Any use of the Services through your Account, whether authorized or not, shall be deemed your use.
- 3.5 You must notify us immediately if you suspect any unauthorized access to or use of your Account. Ogvio is not responsible for losses resulting from unauthorized use of your Account where such use could have been prevented by safeguarding your credentials.
4. DESCRIPTION OF SERVICES
- 4.1 The Services provided through the Website allow you to send, receive, deposit, store, and spend supported currencies, including Digital Assets and fiat-denominated balances.
- 4.2 When you deposit funds in the Website, any supported currency is automatically converted into either USD or EUR. This design ensures that your balance is held in globally recognized and relatively stable currencies, protecting you from extreme volatility or inflation risks associated with less stable currencies.
- 4.3 You may use the Website to send and receive funds globally. Transfers are executed through secure blockchain infrastructure or regulated Partner rails. While Ogvio endeavors to ensure that transfers are processed quickly, final settlement times may vary depending on network conditions, regulatory checks, and Partner processes.
- 4.4 Ogvio also enables you to request and use a debit card, virtual or physical, issued by a regulated third-party - Partner. The card allows you to spend your balances at merchants worldwide, both online and offline, wherever the card network is accepted.
- 4.5 Ogvio does not at any time provide custody of your funds, issue financial instruments, or act as your fiduciary. The Services are limited to providing a secure, user-friendly technological interface to access third-party financial infrastructure.
5. THIRD-PARTY PARTNERS
- 5.1 Many aspects of the Services are facilitated by Partners. This may include wallet creation, stablecoin issuance, fiat conversion, and card services.
- 5.2 By using the Website, you acknowledge and agree that you may be required to accept the terms and conditions of Partners in order to access specific features. Your relationship with each Partner is independent of Ogvio, and Ogvio is not responsible for the performance or non-performance of Partner services. We will inform you of the specific Partner providing a service before your data is shared or before you engage with that Partner.
- 5.3 Ogvio selects Partners with care but does not warrant, guarantee, or assume liability for their actions, omissions, or regulatory standing.
- 5.4 Ogvio may add, change, or remove Partners at its discretion, provided that we notify you of material changes where legally required.
6. SECURITY
- 6.1 Ogvio is designed with security as a primary principle. Each wallet created through the Website is non-custodial and accessible only by you. The wallet is cryptographically tied to your encrypted locally on your device, using advanced tools such as biometric verification and passkeys.
- 6.2 Funds deposited into the Website are not pooled in a centralized account. Instead, they are secured in smart contract vaults deployed on blockchain infrastructure and controlled exclusively by your wallet. This ensures that no bank, exchange, or even Ogvio itself can move or access your funds without your authorization.
- 6.3 Ogvio has partnered with leading security providers to ensure that your wallet is generated, stored, and accessed in compliance with industry standards.
- 6.4 While Ogvio implements strong protections, you acknowledge that no system is immune to failure or compromise. You bear the ultimate responsibility for safeguarding your device, credentials, and wallet access methods.
7. FEES
- 7.1 Ogvio may charge fees for the use of certain Services, including but not limited to transaction facilitation, currency conversion, or premium features.
- 7.2 Fees are disclosed in advance within the Website and must be accepted before a transaction is processed.
- 7.3 Fees imposed by Partners, including card issuers or liquidity providers, are independent of Ogvio and subject to their own terms. Ogvio does not control or refund Partner fees.
- 7.4 Ogvio reserves the right to modify its fee schedule from time to time. Where required by law, notice of such changes will be provided in advance. Continued use of the Services constitutes acceptance of updated fees.
8. ACCEPTABLE USE
- 8.1 You agree not to use the Website or Services for unlawful, fraudulent, or malicious activities. Prohibited uses include, without limitation: conducting money laundering or terrorist financing; purchasing or selling illegal goods or services; infringing intellectual property rights; bypassing sanctions; spreading malware; or engaging in conduct that disrupts or harms the Website.
- 8.2 Ogvio reserves the right to suspend or permanently terminate your Account if we reasonably suspect prohibited activity. We may also report such activity to relevant regulatory or law enforcement authorities.
9. RISKS AND DISCLAIMERS
- 9.1 You acknowledge and accept the risks inherent in digital assets, including but not limited to price volatility, technological failure, cyberattacks, and regulatory uncertainty.
- 9.2 You understand that Partners may alter, suspend, or discontinue their services at any time, and Ogvio has no control over such decisions. You acknowledge that exchange rates, fees, and service availability are determined by Partners and may change without notice. Ogvio does not guarantee the availability, pricing, or performance of any Partner service.
- 9.3 You bear all risk of loss from the use of the Services. Once a transaction is executed, it cannot be reversed.
- 9.4 Ogvio does not warrant uninterrupted or error-free operation of the Website. The Services are provided "as is" without warranties of any kind, whether express or implied.
10. LIMITATION OF LIABILITY
- 10.1 To the fullest extent permitted by applicable law, Ogvio shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of or in connection with your use of the Services.
- 10.2 Ogvio's total aggregate liability for all claims relating to the Services shall not exceed the greater of one hundred (100) U.S. dollars or the total amount of fees you have paid to Ogvio in the preceding twelve (12) months.
11. INDEMNIFICATION
11.1 You agree to indemnify, defend, and hold harmless Ogvio, its officers, employees, affiliates, and Partners from and against all claims, liabilities, damages, losses, or expenses arising out of or related to your breach of these Terms, your misuse of the Services, or your violation of applicable law.
12. PRIVACY
- 12.1 The collection and processing of personal data by Ogvio is governed by our Privacy Policy. By using the Services, you consent to the collection, use, and disclosure of your data in accordance with that policy.
- 12.2 You acknowledge and agree that your data may be shared with Partners for purposes of identity verification, regulatory compliance, and transaction processing.
13. TERMINATION
- 13.1 Ogvio may suspend or terminate your Account at any time if you breach these Terms, engage in unlawful activity, or if required by law or regulatory authorities.
- 13.2 You may terminate your Account by ceasing use of the Services and deleting the Website. Termination does not relieve you of obligations incurred prior to termination. Upon termination, Ogvio will provide you with information on how to withdraw or transfer any remaining balances held with Partners, where applicable. Ogvio itself does not hold or control your funds.
14. AMENDMENTS
- 14.1 Ogvio may revise these Terms from time to time. Material changes will be communicated via the Website or by email prior to taking effect.
- 14.2 Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. GOVERNING LAW AND DISPUTE RESOLUTION
- 15.1 These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.
- 15.2 Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless otherwise required by law. If you are a consumer residing in the European Economic Area (EEA), you may also have the right to bring a claim before your local consumer protection authority in addition to the courts specified above.
16. ELECTRONIC COMMUNICATIONS
- 16.1 By creating an Account and using the Services, you consent to receive communications from Ogvio electronically, including legal notices, disclosures, and updates.
- 16.2 Electronic communications shall have the same legal effect as written communications delivered in physical form.
